These terms are an agreement between 4MEC Limited ("4MEC", "we", "us") and the organisation that has licensed CleanLytics ID Badge Designer ("you"). By installing or using CleanLytics ID Badge Designer (the "Software") you agree to these terms on behalf of your organisation. If you do not agree, do not install or use the Software.

1. Licence

We grant you a non-exclusive, non-transferable licence to install and use the Software on your own computers, for your organisation's internal business purposes, for the number of users or computers set out in your order or quotation. The licence lasts for as long as you comply with these terms and have paid any fees due.

2. What you may not do

  • Copy the Software, except for reasonable backup copies.
  • Sell, rent, lend, sub-license or otherwise make the Software available to anyone outside your organisation.
  • Modify, translate, decompile or reverse engineer the Software, except to the extent the law allows you to do so, or to the extent a third-party component is licensed to you under the LGPL or a similar licence that requires otherwise.
  • Remove or change any copyright notice, trade mark or terms shown in the Software.
  • Use the Software for any unlawful purpose, or to produce identity documents intended to deceive.

3. Ownership

The Software, its design and its documentation are owned by 4MEC Limited and are protected by copyright and other intellectual property laws. You are licensed to use the Software, not sold it. All rights not expressly granted to you are reserved.

4. Your data

The cardholder records, photographs, card designs and other information you enter ("Your Data") belong to you. The Software stores Your Data in your own database or network folder. We do not collect or receive Your Data, and we only access it if you ask us to as part of a support request.

You are the data controller for any personal data in Your Data. You are responsible for complying with the UK General Data Protection Regulation and the Data Protection Act 2018, including having a lawful basis for processing, telling cardholders how their data and photographs are used, keeping the data accurate and secure, and deleting it when it is no longer needed.

You are responsible for backing up Your Data and for controlling who can use the Software and reach the data folder.

5. Badges, card printing and encoding

You are responsible for the ID badges you issue and for any access-control decisions made using them. Before relying on printing, magnetic stripe encoding or contactless (NFC / RFID) encoding, test them with your own printers, cards and access-control systems. Keys and settings for access-control cards are your responsibility. If you connect the Software to an access control system, you are responsible for its settings, for the access levels it gives people and for any licence its supplier requires; check the result in that system before relying on it. We do not guarantee that the Software will work with every printer, card, reader or driver.

6. Third-party software

The Software includes components supplied by third parties (for example Java and JavaFX runtimes, database drivers and camera libraries). Those components are licensed under their own terms, which apply to them in addition to these terms. A full list, with each component's licence and where to obtain its source, is in THIRD-PARTY-NOTICES.txt in the folder the Software is installed in, and is also available from us on request.

7. Support and updates

Support and updates are provided as set out in your order or support agreement. Updates may add, change or remove features. We may stop supporting a version of the Software once a newer version is available.

8. Warranty

We will provide the Software with reasonable skill and care. We do not warrant that the Software will be free of errors or will run without interruption. If the Software does not work materially as described, contact us and we will use reasonable efforts to correct it. Nothing in these terms affects your statutory rights.

9. Limitation of liability

We are not liable for any loss of profit, revenue, business or goodwill, for loss or corruption of data, or for any indirect or consequential loss, however it arises.

Our total liability to you in connection with the Software is limited to the fees you paid us for it in the twelve months before the event giving rise to the claim.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

10. Ending the licence

We may end the licence by notice if you materially breach these terms and do not put the breach right within 30 days of being asked to. When the licence ends you must stop using the Software and delete all copies of it. Your Data remains yours and stays in your own database and folders.

11. General

  • These terms, together with your order or quotation, are the whole agreement between us about the Software.
  • We may update these terms. The current version is always shown in the Software, and changes will not reduce your rights under an order you have already paid for.
  • If any part of these terms is found to be unenforceable, the rest of the terms remain in force.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
